1.1 These Terms govern access to and use of the Venture Bench website at venturebench-ai.com (the Site) and all content published on it, including the Agentic Durability Architecture (ADA) Institutional Standard, the Agentic Risk Architecture Framework (ARAF), and related methodologies, frameworks, and materials (collectively, Framework Materials).
1.2 By accessing the Site or downloading any Framework Materials, you agree to be bound by these Terms. If you do not agree, you must not access the Site or download any materials.
1.3 Venture Bench may amend these Terms at any time by publishing revised Terms on the Site. Continued use of the Site following publication of amended Terms constitutes acceptance of those amendments.

6.3 Venture Bench does not monitor, validate, audit, or enforce third-party alignment claims unless formally engaged to do so under a separate written agreement.
6.4 Venture Bench reserves the right to publicly clarify, correct, or challenge any third-party statement of ADA alignment that it reasonably believes to be materially false, misleading, or inconsistent with the requirements of the applicable ADA version.
7. Status of ARAF
7.1 The Agentic Risk Architecture Framework (ARAF):
7.2 Public descriptions of posture classifications, collapse vectors, remediation roadmaps, or engagement pathways are explanatory only. Such descriptions do not constitute professional advice.

10. Framework Download and Use Licence
10.1 Subject to compliance with these Terms, Venture Bench grants you a limited, non-exclusive, non-transferable, revocable licence to:

11. Intellectual Property
11.1 All content on the Site, including ADA, ARAF, AIOC, and AEC frameworks; collapse vector concepts, posture classifications, and engagement pathway methodologies; governance diagrams, assessment matrices, and structural models; scoring logic, calibration mechanics, and weighting systems; all written materials, terminology, and expressions; and the Venture Bench name, logo, and branding, is the intellectual property of Venture Bench Pty Ltd or its licensors.
11.2 ADA, ARAF, AIOC, Agentic Durability Architecture, Agentic Risk Architecture Framework, Agentic Integrity Oversight Committee, collapse vector, and Venture Bench are trademarks or trading names of Venture Bench Pty Ltd.
11.3 All rights not expressly granted are reserved. Nothing in these Terms transfers ownership of any intellectual property to you.
12. AI and Automated Tools
12.1 Any references on the Site to AI-enabled tools, diagnostics, automated assessments, or technology-assisted outputs: (a) are informational only; (b) describe general capabilities and are not guaranteed to be error-free; (c) do not replace independent professional judgement or advice.
12.2 Users remain responsible for independent verification of any information, output, or recommendation generated through automated or AI-assisted processes.
13. Confidential Information
13.1 You must not submit confidential, proprietary, or legally privileged information via the Site or to Venture Bench unless a formal engagement agreement has been executed that establishes confidentiality obligations.
13.2 Unsolicited materials submitted via the Site may not be treated as confidential.
14. Third-Party Links and Content

16. Limitation of Liability

16.2 To the maximum extent permitted by law, Venture Bench excludes all liability for: indirect, consequential, special, or incidental loss or damage; loss of profits, revenue, business, goodwill, or anticipated savings; economic loss or loss of opportunity; loss arising from capital raising, investment, or financing decisions; loss arising from enterprise contracting decisions; loss arising from reliance on Framework Materials; and loss arising from any third party's use of or representations regarding Framework Materials.
16.3 To the extent that any supply is to a consumer within the meaning of the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.
16.4 Where Venture Bench is entitled to limit its liability under the Australian Consumer Law, liability for breach of any non-excludable guarantee is limited to: (a) in the case of services: resupplying the services or payment of the cost of resupply; (b) in the case of goods: replacement or repair, or payment of the cost of replacement or repair.
16.5 Venture Bench's total aggregate liability under or in connection with these Terms is limited to AUD $100.
17. Indemnification
17.1 You indemnify and hold harmless Venture Bench and its officers, directors, employees, and agents from and against any claim, liability, loss, damage, cost, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your misuse of Framework Materials; (c) your misrepresentation of ADA alignment, ARAF classification, or Venture Bench endorsement; (d) any third-party claim arising from your use of Framework Materials; (e) your violation of any applicable law or regulation.
18. Dispute Resolution
18.1 Any dispute arising under these Terms must first be the subject of good faith negotiation for not less than 14 days.
18.2 If not resolved, either party may refer the dispute to mediation administered by the Australian Disputes Centre.
18.3 Nothing in this clause prevents either party from seeking urgent interlocutory relief.
19. Governing Law and Jurisdiction
19.1 These Terms are governed by the laws of New South Wales, Australia.
19.2 The parties submit to the exclusive jurisdiction of the courts of New South Wales and any courts of appeal from them.
20. General
20.1 Severability. If any provision is held invalid, the remaining provisions continue in full force.
20.2 Waiver. A failure or delay to exercise any right does not constitute a waiver.
20.3 Entire Agreement. These Terms constitute the entire agreement regarding use of the Site.
20.4 Assignment. You may not assign rights without Venture Bench's prior written consent. Venture Bench may assign without your consent.
